Wycombe Wanderers Supporters Trust
seeks nominations to the Board of Directors

In a letter dated 12th May 2005 and addressed to members of the Wycombe Wanderers Supporters Trust, an invitation has been extended seeking nominations from members of the Supporters Trust to stand for election as members of the Board of Directors.

On Thursday 30th June 2005, it is intended to hold the first Annual General Meeting (AGM) of the members of Wycombe Wanderers Supporters Society Limited (hereafter Wycombe Wanderers Supporters Trust or simply the Supporters Trust.).
The primary business will be to elect a Board of Directors for Wycombe Wanderers Supporters Trust.

The AGM is subject to confirmation and formal notice of the AGM will be issued within the prescribed period giving a minimum of 14 days notice.

As this will be the first AGM, the existing Board will stand down. A number of the existing Board members have indicated that they will offer themselves for election at the AGM (see later).

Please note that nomination forms must be returned to the Secretary at the Supporters Trust address no later than 5:00 p.m. Saturday 28th May 2005.
No nomination can be considered after this date.

Nominations are open to everyone who is a member on Saturday 28th May 2005.

Election of the Supporters Trust's representative to the Board of Wycombe Wanderers Football Club PLC
The members of the Supporters Trust will elect the representative to the Board of Wycombe Wanderers Football Club PLC as a separate process. It will be a requirement that anyone seeking nomination as the representative to the Board of Wycombe Wanderers Football Club PLC must be a serving member of the Board of Wycombe Wanderers Supporters Trust. Due to the need to complete the elections to the Supporters Trust and then accommodate the summer period during which many members will be on holiday, the election of the representative to the Board of Wycombe Wanderers Football Club PLC will be held in late September/early October 2005 with the result declared no later than Monday 17th October 2005. It is necessary that anyone who wishes to stand for nomination as the Supporters Trust's representative to the Board of Wycombe Wanderers Football Club PLC first stand for election to the Board of the Supporters Trust.

Consistent with the rules of the Supporters Trust, the intention is to seek nominations for a maximum of ten Board positions.

At the second and third AGMs, one third of the members of the Board (to be chosen by lot) will resign from office. Thereafter the one third of the members of the Board who have served the longest at the date of the AGM each year will resign. Resigning members may offer themselves for re-election.

The position of the representative to the Board of Wycombe Wanderers Football Club PLC will be elected separately each year with the existing representative resigning. A resigning member may offer himself/herself for re-election.

The Board of the Supporters Trust has identified a number of Board roles together with their key responsibilities. These are summarised below:
1. Chairman
The Board will elect a Chair from amongst its elected members. This position will have responsibility for the overall direction of the Trust, ensuring that it is progressing all of its primary objectives.
2. Treasurer
Responsible for all aspects of the Trust's finances including reconciling membership payments, paying bills as they are due and maintaining appropriate records to allow the Trust to be audited.
3. Representative on the Board of Directors of Wycombe Wanderers Football Club PLC
Providing the Supporters Trust continues to hold 100,000 shares in Wycombe Wanderers Football Club PLC, the Supporters Trust may nominate a director to the Board of Directors of Wycombe Wanderers Football Club PLC. The representative to the Board of Wycombe Wanderers Football Club PLC is required to discharge the full functions of a director of the Football Club and will be expected to undertake specific tasks on behalf of the Football Club. This is in addition to representing the Supporters Trust's membership on the Board of Directors of Wycombe Wanderers Football Club PLC. 4. Events Director
The Supporters Trust expects to organise a series of fundraising events.
This position will have primary responsibility for organising all aspects of these events.
5. Membership Director
The Supporters Trust relies on its membership both for funding through membership fees and for its democratic legitimacy and mandate as a representative organisation. This position will have primary responsibility for all aspects of increasing the membership and providing services to the membership.
6. Marketing Director
The Supporters Trust needs to generate revenues from corporate sources as well as individual members because of the necessity to raise a total of £100,000 by February 2006. This position will have primary responsibility for identifying and pursuing appropriate commercial sources.
7. Communications Director
The Supporters Trusts needs to ensure that its activities and events together with ad hoc issues are communicated to its members as well as publicised in the local media. This position will have primary responsibility for providing regular communications to the members and maintaining contacts with the media and for providing them with appropriate material on a timely basis.
8. Community Director
The objectives of the Supporters Trust include strengthening the bonds between the Football Club and the community that it serves. This role will have primary responsibility for ensuring that the Supporters Trust reaches out to the broader community.
9. Liaison Director
There are a number of supporters' organisations that seek to represent supporter interests at national levels. For example, the Supporters Trust is a member of Supporters Direct, the umbrella organisation for the 120+ supporters trusts in England, Scotland and Wales. This role will have primary responsibility for representing the Supporters Trust at meetings of these organisations and thereby ensure that we play a full and appropriate role.
10. Secretary to the Board
The Secretary must undertake a myriad of administrative functions including overseeing adherence by the Board to the Trust's rules, maintaining minutes of meetings and calling General Meetings of members as required.

All of these roles can require substantial commitments of time as well as specialist skills in certain instances. Anyone seeking nomination should ensure that he/she has both relevant skills and is able to commit the time to ensure that he/she discharges the duties appropriately in service of the Members of the Supporters Trust.

A number of the existing Board members have indicated their willingness to stand for election.
They will seek nominations accordingly.

Mr. Peter Lerner currently Community Director.
Mr. Martin Hamilton currently Liaison Director.
Mr. Tim Goode

Both Mr. Andy Worboys and Mr. Ian Mobsby, currently members of the existing Board, have indicated that they will stand down and not seek election. The Board of the Supporters Trust would like to thank them for their contribution in establishing the Supporters Trust.

Consistent with guidelines provided by Supporters Direct, the actual roles and responsibilities of Board members will not be completed until the second Board meeting after the AGM to allow for the appointment of co-opted members. The rules of the Supporters Trust permit the Board of the Supporters Trust to co-opt members onto the Board to fill vacancies.

The Board of Directors of the Supporters Trust recognises that many people are unable to commit to the time required to be a member of the Board of Directors of the Supporters Trust but nevertheless are willing to offer their services to the Supporters Trust on an occasional basis. If you are such a person then please use the nomination form indicating your willingness to help and any skills that you can offer. Since you are not seeking nomination for election, there is no need to seek other members to propose or second you. The Board of the Supporters Trust will contact you to help as appropriate.
