Wycombe Wanderers Supporters Trust
seeks nominations to the Board of Directors

On Thursday 28th June 2007, it is intended to hold the third Annual General Meeting (AGM) of the members of Wycombe Wanderers Supporters Society Limited (hereafter "Wycombe Wanderers Supporters Trust" or simply "Supporters Trust"). One item of business will be to elect a number of members to the Board of Directors for Wycombe Wanderers Supporters Trust.

The AGM is subject to confirmation and formal notice of the AGM will be issued within the prescribed period giving a minimum of 14 days notice.

In a letter dated 5th May 2007 and addressed to members of the Wycombe Wanderers Supporters Trust, an invitation has been extended seeking nominations from members of the Supporters Trust to stand for election as members of the Board of Directors of the Supporters Trust. Rules governing the election procedure have been drawn up in accordance with Best Practice guidelines developed by Supporters Direct. The Secretary will act as the Returning Officer for this election.

Please note that nomination forms must be returned to the Returning Officer at the Supporters Trust address no later than 5:00 p.m. Thursday 24th May 2007. No nomination can be considered after this date.

Nominations are open to everyone who is a member on Thursday 24th May 2007.

Consistent with the rules of the Supporters Trust, the intention is to seek nominations so as to have a total of ten elected Board members. Currently there are eight elected Board members and one Board member co-opted to fill a vacancy on the Board. In addition, the rules of the Supporters Trust require two board members to be co-opted by the Board in accordance with a Board Membership Policy. Currently there is one board member thereby co-opted to represent the Wycombe Wanderers Founders Trust. This position does not count towards the total of ten elected Board members.

At the second and third AGM, one-third of the elected Board members (to be chosen by lot) are required to resign from office. Thereafter, the one-third of the elected Board members who have served the longest at the date of the AGM each year will resign. Resigning members may offer themselves for re-election. This is the second AGM and three Board members have been chosen to resign. The Board member co-opted during the year to fill a vacancy on the Board will resign at the AGM. All four resigning Board members have indicated that they will offer themselves for re-election.

Appointment of the Supporters Trust's representative to the Board of Wycombe Wanderers Football Club PLC
The Supporters Trust's representative to the Board of Wycombe Wanderers Football Club PLC will be appointed as a separate process. It will be a requirement that anyone seeking nomination as the representative to the Board of Wycombe Wanderers Football Club PLC must be a serving member of the Board of Wycombe Wanderers Supporters Trust. Due to the need to complete the appointments to the Board of the Supporters Trust and then accommodate the summer period during which many members will be on holiday, the ballot (if there are two or more candidates) of the representative to the Board of Wycombe Wanderers Football Club PLC will be held in late September/early October 2007 with the result declared no later than Monday 15th October 2007. It is necessary that anyone who wishes to stand for nomination as the Supporters Trust's representative to the Board of Wycombe Wanderers Football Club PLC first stand for election to the Board of the Supporters Trust.

The Board of the Supporters Trust has identified a number of Board roles together with their key responsibilities.

10. Liaison Director

The responsibilities of individual Board members will be confirmed by the Board at its first meeting after the AGM.

All of these roles can require a substantial commitment of time as well as specialist skills in certain instances. Francis can be contacted on 01727 850727. Any member seeking further guidance on completion of the nomination form, including confirmation that a particular proposer or seconder is a member eligible to do so, should contact the Returning Officer using the details at the top of the nomination form. The Returning Officer will also make available for inspection the register of members to candidates so that members to act as proposer or seconder might be identified.

If there are more than five appropriately nominated candidates for the five board positions being elected then there will be a "Meet the candidates" event, provisionally scheduled for Thursday 14th June 2006, at which members can quiz the prospective candidates for the Board positions. Note: This event will only be held if there are more candidates than board positions available and a ballot is required. Potential candidates should ensure that they are available to attend this event if held.

Ballot papers and/or candidate manifestos will be circulated to members together with the notice convening the AGM. In the event that there are as many or fewer candidates than eligible positions, no ballot will be required. Results will be communicated to members both at the meeting and in the next communication to members.

The Board of the Supporters Trust recognises that many people are unable to commit to the time required to be a member of the Board but nevertheless are willing to offer their services to the Supporters Trust on an occasional basis. If you are such a person then please use the nomination form indicating your willingness to help and any skills that you can offer. Since you are not seeking nomination for election, there is no need to seek other members to propose or second you. The Board of the Supporters Trust will contact you to help as appropriate.
