
The Boards of the Wycombe Wanderers Supporters Trust and Wycombe Wanderers Founders Trust have invited members to attend a meeting on Wednesday 23rd January 2008 to discuss the details of a proposed unification of the two Trusts.
Members of the two Trusts have
been sent a letter as follows:
Dear Member
Over the past months a working party, comprising of Board Members
from both the Supporters Trust and the Founders Trust, has been
developing a structure and an organisation to unify the two existing
Trusts. As part of this process a meeting of members was held
on 28th June 2007, where members overwhelmingly endorsed the principle
of a merger. We are pleased to report that this process has reached
a stage where your further involvement is required.
You are invited to attend a Joint Meeting of Memberships of both the Trusts, where proposals will be presented to unify the two Trusts into the single Wycombe Wanderers Trust Limited.
This meeting is intended to ensure that Members understand the new Trust's structure, its objectives and the unification process. The Trusts' Boards will explain these matters together with answering any questions or concerns that you may have. Details of the next steps in the process will be provided.
The meeting will be held in the Woodlands Lounge, Adams Park, Hillbottom Road, Sands, High Wycombe, Bucks HP12 4HJ on Wednesday 23rd January 2008 commencing at 8:00 p.m.
No formal resolutions will be put to the meeting on 23rd January but subsequently there will be two separate Special General Meetings (Supporters Trust) and an Annual General Meeting (Founders Trust) at which members will be asked to consider and, if thought appropriate, approve a series of resolutions to enable the unification to occur. Full details regarding these meetings will be provided separately. Note: Your active participation at these meetings is needed if the unification is to proceed.
Why should the Trusts be unified?
The Trusts' Boards believe that there are many benefits to a unified
Trust, which would be better placed than the two separate Trusts
to maximise both its total membership and its effectiveness in
serving this membership.
· A clearer picture: A unified Trust will be able to maximise its membership. The existence of two separate but inherently similar Trusts is confusing and makes it harder to recruit members. A unified Trust will remove this confusion and present a single solution to supporters wishing to actively engage with the running of their football club.
· Lower costs for members: Currently it is expensive
for a supporter to join both Trusts. A unified, debt-free Trust
will be able to offer membership at the lowest possible single
annual fee.
· Improved supporter influence over the key decisions
at the football club: The 500 Founder Shares influence several
key areas of the football club, for example, any proposed sale
of Adams Park. Eventually, the Founders Trust will inherit all
500 Founder Shares. A unified Trust will enable all members who
are eligible to have a say in how these shares are voted. The
current arrangements do not easily permit this to the detriment
of supporters.
· Focus: Two Trusts require two AGMs, two separate monthly Board Meetings, two membership databases, the production of two sets of annual accounts etc. A unified Trust with a single board will be able to concentrate on key activities such as two-way communication with members, community activities and fundraising.
· Communication with members: A single administration process and an increased pool of volunteers will enable a unified Trust to provide relevant and timely information to members.
· Communication with the football club: A unified Trust, with the strength of an enlarged membership, will be better able to provide important feedback and information to the football club.
· Two voices, one message: A unified Trust will retain its two member-elected PLC Directors, whose influence at PLC Board level will be maximised through delivering the opinions of a single Trust.
· Maximise use of supporter talent: There are a limited number of supporters who can devote the time and energy necessary to run a Trust effectively. A unified Trust, with a single administrative function, will maximise the effectiveness of these people, thereby better ensuring its long-term survival and growth.
· Effectiveness of PLC Directors: A unified Trust will maximise the effectiveness of its PLC Directors by minimising the time they must spend on other Trust functions.
· Share acquisition: A single Trust provides a platform to purchase additional shares in the football club, which in turn offers the potential to reduce the Club's debt by providing the existing holders of loan notes with an opportunity to convert their loan notes into shares.
We will elaborate upon these benefits together with important details of the structure of the unified Trust and how the process will proceed at the meeting on the 23rd January. We would really appreciate it if you are able to attend.
