General Meetings of
Wycombe Wanderers Supporters Trust and Wycombe Wanderers Founders Trust

At separate, quorate general meetings held on Thursday 7th February 2008, members of the two Trusts passed certain special resolutions to initiate the process of unifying the two Trusts.

Members of Wycombe Wanderers Supporters Trust voted to Transfer the Supporters Trust's Engagements (its assets, liabilities and membership) to Wycombe Wanderers Founders Trust. Members of Wycombe Wanderers Founders Trust voted to accept the Transfer of Engagements, to change the name of Wycombe Wanderers Founders Trust Limited to Wycombe Wanderers Trust Limited and to adopt new Memorandum and Articles of Association.

The resolutions are conditional upon Wycombe Wanderers Football Club PLC making necessary changes to its Articles of Association to accomodate the proposed transfer and the Financial Services Authority (FSA), that regulates the Supporters Trust, approving the Special Resolution.

The Transfer of Engagements is governed by the Industrial and Provident Societies Acts 1965 and 2002. These require that the Supporters Trust hold a second Special General Meeting to pass an Ordinary Resolution in order to confirm the Transfer of Engagements. This meeting has been called for Wednesday 27th February 2008. Members of the Supporetrs Trust will receive details of this meeting by post. Details can also be found at the link below.

This will then be followed by an Extraordinary General Meeting of Wycombe Wanderers Football Club PLC to vote on the necessary changes to the Articles of Association of the PLC.

Only if and when all of these meetings have approved the necessary resolutions can details be sent to the Financial Services Authority for their consideration.

Members will be informed of any significant developments, including when the Transfer of Engagements has been completed.
