Founder Shareholders General Meeting
Wednesday 19th March 2008

At an EGM of Wycombe Wanderers Football Club and a Founder Shareholders General Meeting both held on 19th March 2008, resolutions were passed approving the adoption by the PLC of new Articles of Association.

The resolutions were passed by a show of hands.

At the PLC's EGM, a total of 85 votes were cast - 31 by shareholders present in person and 54 by proxy votes. All votes were in favour of adopting the special resolution placed before the EGM. The meeting was quorate, no poll was demanded and the special resolution received the necessary 75% approval. Hence the Chairman declared that the resolution was passed.

At the Founder Shareholders General Meeting, a total of 81 votes were cast - 29 by shareholders present in person and 52 by proxy votes. All votes were in favour of adopting the ordinary resolution placed before the EGM. The meeting was quorate, no poll was demanded and the resolution received the necessary 50% approval. Hence the Chairman declared that the resolution was passed.

Approval of the resolutions at these meetings was a necessary step in the unification process for the Trusts. The next stages are that approval must be received from the Football League and Football Association for the new Articles of Association. It is expected that their approval will be received in the near future. The Supporters Trust must then apply to the Financial Services Authority for the Transfer of Engagements to the unified Trust to be approved. The Trusts will be unified assuming these stages are successfully undertaken.

How did the members mandate the Trusts to vote their shares?

Ahead of the PLC's EGM and the Founders Shareholders General Meeting held on 19th March 2008, the Trusts' Boards wrote to all members seeking a mandate on how to vote the Trusts' shareholdings.

A total of 111 members of the Founders Trust voted together with 102 members of the Supporters Trust.
A simple analysis of the returns received from members and the votes cast for the resolution are shown in the tables below - a description of each resolution and the advise provided by the Trusts' Boards is provided in the links tbelow.

On the basis of the mandate given, the Trusts cast their votes in respect of their shareholdings FOR the resolutions as appropriate at the two meetings.
The Supporters Trust holds 100,000 Ordinary Shares in the PLC.
The Founders Trust holds 137 Founder Shares in the PLC as at 19th March 2008.

Democracy only works well if people are engaged and, therefore, the Trusts' Boards wish to thank all the Trust members who provided mandates.
